These Terms of Service ("Terms") govern your access to and use of the services, products, and website provided by IQAAI Technologies, LLC ("IQAAI Technologies", "we", "us", or "our"). By engaging with our services, you agree to be bound by these Terms.
1. Services
IQAAI Technologies provides enterprise infrastructure consulting, platform engineering, managed operations, and training services. The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate Statement of Work (SOW) or Service Agreement executed between both parties.
2. Eligibility
Our services are intended for business entities and authorized representatives. By engaging our services, you represent that you have the authority to bind the entity you represent and that you are at least 18 years of age.
3. Client Obligations
Clients agree to: (a) provide accurate and complete information necessary for the delivery of services; (b) cooperate with our engineering and operations teams; (c) ensure authorized access to relevant systems and environments; and (d) comply with all applicable laws and regulations in their use of our platforms and deliverables.
4. Intellectual Property
Unless explicitly stated otherwise in a signed agreement, all intellectual property developed by IQAAI Technologies during an engagement, including but not limited to custom software, configurations, architectures, and documentation, remains the property of IQAAI Technologies. Clients are granted a non-exclusive license to use deliverables as defined in the applicable SOW.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information exchanged during the course of engagement. This includes technical specifications, business processes, security configurations, and any information designated as confidential. This obligation survives the termination of any agreement.
6. Payment Terms
Fees and payment schedules are outlined in the applicable SOW or Service Agreement. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may incur interest at the rate specified in the agreement or the maximum rate permitted by applicable law.
7. Service Level & Uptime
For managed services and operational engagements, service level targets (SLAs) are defined in the applicable SOW. We commit to commercially reasonable efforts to meet these targets. Remedies for SLA breaches, if any, are detailed within the specific agreement.
8. Limitation of Liability
To the maximum extent permitted by law, IQAAI Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services. Our total aggregate liability shall not exceed the fees paid by the client in the twelve (12) months preceding the claim.
9. Termination
Either party may terminate an engagement for material breach upon 30 days' written notice if such breach remains uncured. Upon termination, the client shall pay for all services rendered through the date of termination. Provisions relating to confidentiality, intellectual property, and limitation of liability shall survive termination.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of USA. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in New York, USA.
11. Amendments
We reserve the right to update these Terms at any time. Material changes will be communicated through our website or direct notice. Continued use of our services following any changes constitutes acceptance of the updated Terms.
